Gentoo Media Shareholders to Vote on Board Expansion and Capital Shift

Gentoo Media Inc. has summoned shareholders to an extraordinary meeting in Stockholm on November 2, 2026, to weigh significant changes to the company’s capital structure and governance, including the creation of a new class of common stock and the addition of a fifth member to the board of directors.

The meeting, scheduled for 10:00 CET at Nybrogatan 12, will center on a proposal to amend the company's certificate of incorporation. Specifically, the board seeks to increase authorized common stock from 200 million to 250 million shares while simultaneously establishing a new class of 100 million unlisted Class Z common shares. This move is designed to accommodate a directed share issue underwritten by three major shareholders—MJ Foundation, ZJF, and Betplay Capital—to satisfy U.S. securities regulations.

Beyond capital adjustments, the agenda includes a vote to expand the board of directors from four members to five. The nomination committee has recommended Łukasz Wójciak to fill the new seat, with Mikael Harstad slated to continue as chairman. Shareholders registered by October 23, 2026, are eligible to vote, though the company has urged participants to submit proxy forms in advance to ensure their interests are represented.
