A federal securities fraud class action lawsuit has been filed against AST SpaceMobile, Inc. in the Western District of Texas. The complaint, Hunter v. AST SpaceMobile, Inc., alleges the company misled shareholders regarding its capital requirements and competitive standing between March 4, 2025, and July 15, 2026.

The litigation centers on claims that AST SpaceMobile failed to disclose the true scale of its capital needs, which allegedly led to unexpected debt accumulation and share dilution. According to the complaint, the company overstated its liquidity position and the durability of its competitive edge in the direct-to-cell satellite market, even following the EchoStar transaction. The suit further claims that the company faced slower-than-anticipated user adoption rates in both the United States and Japan, information that was allegedly withheld from the investing public.

Financial strain became apparent to the market following a series of downgrades and disclosures. In January 2026, Scotiabank downgraded the stock to sell, highlighting intensifying competition from SpaceX’s Starlink and delays in satellite deployment. The situation intensified on July 15, 2026, when the company announced a $1 billion offering of convertible senior notes. The market reaction was swift, with AST’s common stock price dropping 17.04% to close at $55.01 the following day. Investors who suffered losses during this period have until November 13, 2026, to file for lead plaintiff status in the ongoing class action.
