The legal action, spearheaded by Hagens Berman, centers on allegations that UWM failed to disclose the extent of its exposure regarding hedging transactions tied to the Two Harbors deal. When the acquisition collapsed in March 2026, the company was left with a massive, speculative hedge position that management eventually admitted was an over-hedged error. The fallout reached a breaking point on August 6, 2026, when the firm reported a 451 million dollar net loss, a 38 percent plunge in total equity, and a plan for dilutive recapitalization.
UWM Holdings Faces Class Action After Failed Acquisition Hedge Loss
Investors have until October 13, 2026, to seek lead plaintiff status in a securities class action against UWM Holdings Corporation. The lawsuit follows a 34 percent single-day stock collapse triggered by disclosures of a 603 million dollar hedging loss linked to a failed acquisition attempt of Two Harbors Investment Corp.

Reed Kathrein, the Hagens Berman partner leading the investigation, questioned why the company refrained from unwinding these positions months earlier and remained silent on the associated risks. Between December 2025 and August 2026, UWM shares lost approximately 75 percent of their value. The firm is currently soliciting input from investors who suffered substantial losses during the March to August 2026 class period, as well as potential whistleblowers who may provide original information regarding the company's internal decision-making.
